Consolidated Hallmark Approves Key Board and Audit Changes at AGM
Consolidated Hallmark Holdings Plc has announced the outcomes of its 2nd Annual General Meeting held on Wednesday, August 27, 2025, at The Metropolitan Club, Victoria Island, Lagos. Shareholders approved the company’s audited financial statements for the year ended December 31, 2024, along with the reports of the directors, auditors, and audit committee.
The meeting saw the re-election of Dr. Layi Fatona, HRH Eze Ben Onuora, and Mrs. Chijioke Ugochukwu as directors retiring by rotation. Additionally, the appointment of Dr. Seinde Fadeni as a non-executive director was ratified. PFK Professional Services was confirmed as the company’s external auditors effective January 1, 2025, and the board was authorized to fix their remuneration for the 2025 financial year.

The remuneration of company managers was disclosed, and shareholders elected Chief James Emadoye, Chief Simon Okiotorhoro, and Mr. John Azubuike Ogbeka as representatives on the statutory audit committee. Mr. Adegbola Adesina and HRH Eze Ben Onuora were appointed to represent the board on the same committee.
Under special business, shareholders approved the remuneration of non-executive directors for the year ending December 31, 2025. The resolutions were confirmed in a statement signed by Rukevwe Falana, Company Secretary.
